Description

Share deal with 5 hotel apartments

For sale is a Holding/Ltd registered in San Gwann, Malta with two Maltese Limited/Ltd and small real estate holdings/apartments in Hungary. This Maltese holding/Ltd with the two Ltd also registered in Malta was founded about 10 years ago and is debt-free.
The head office is registered with a renowned Maltese and international company administration. The Holding/Ltd with the two Ltd is free of debt and encumbrances and is being sold in the share deal process. This company package (holding/Ltd incl. the two Ltd) is managed by an Austrian managing director.
Since 2016, this Ltd has owned four apartments in the 4-star Palace Hotel in Heviz (Hungary) and a parking space in the hotel''s underground car park. All apartments are parified. Each apartment is registered separately in the Hungarian land register. The owner of the apartments is also a co-owner of the entire spa area and thus has unlimited access to the hotel''s wellness area with swimming pool, various saunas (infrared cabin, steam bath, salt cave) and various relaxation areas.
A notice:
- The Maltese Holding/Ltd for sale with the two Maltese Ltd own an active, clean, funded bank account in Malta.
-Moreover, all necessary tax accesses with UID/VAT no. and accounts in Malta and Hungary, also with Hungarian tax number (NAV / AFA).
In addition to these 4 apartments (between 32 and 43 m2) with spa use and a parking space in the hotel, an English Ltd, registered in London (same owner), with an additional apartment (with a total of 42.9 m2 (was run as a holding company) and 2 underground parking spaces are being sold. This English Ltd was founded in 2008 and has an active account with the English HSBC Bank in London.
Ownership structure:
This Maltese Holding/Ltd. with the two Ltds is in turn owned by an economically and financially stable English holding company in London and will be spun off from this when it is sold.
The 5 apartments have a total of 8 rooms with a total of 195 m2. 3 apartments with 2 rooms, 2 apartments with 1 room.
A notice:
-The rights to the Maltese holding/Ltd and the apartments, as well as the English Ltd, will be transferred to the new owner through a total package purchase (share deal). The Maltese Holding / Ltd and the English Ltd will be transferred to the new owner in the 100% share deal sale.
Costs:
In this sale process only the exchange of ownership costs in Hungary and in Malta have to be paid. There are no notary and transfer costs or other taxes or duties in Hungary.
After the purchase, the new owner will become the new Managing Director and 100% owner of the Maltese Holding/Ltd. registered with the Maltese authorities. The new managing director only must be reported to the Hungarian tax authority/NAV and to the tax authority in Malta. The change of ownership of the English Ltd must be reported to the responsible authorities in London by an English notary (against reimbursement of costs). This entire company package sales process can also be handled discreetly.
